Announcement on Major Event in Respect of Investment in Joint-Establishment of Tibet Gaoxin Building Materials Group

According to the relevant provisions of “Stock Listing Rules” of Shanghai Stock Exchange, Huaxin Cement Co., Ltd. (hereinafter referred to as “the Company”) now makes the following announcement on proceedings regarding investment in joint-establishment of Tibet Gaoxin Building Materials Group Co., Ltd. (hereinafter referred to as “Tibet Building Materials Group”):
Recently, the Company has signed an Agreement with Tibet Tianlu Co., Ltd., Tibet Gaozheng (Group) Limited Liability Company, Tibet Autonomous Region Investment Co., Ltd. and Shannan Xingye Cement Plant, proposing to jointly invest in the establishment of Tibet Gaoxin Building Materials Group Co., Ltd. (Tibet Building Materials Group).
Basic information of Tibet Building Materials Group:
Registered location: Lhasa
Registered capital: RMB 200 million
Equity structure: the Company 43% (RMB 86 million); Tibet Tianlu Co., Ltd. 30% (RMB 60 million); Tibet Gaozheng (Group) Limited Liability Company 10% (RMB 20 million), Tibet Autonomous Region Investment Co., Ltd. 10% (RMB 20 million) and Shannan Xingye Cement Plant 7% (RMB 14 million).
The Company shall sign Equity Entrustment Agreement with Shannan Xingye Cement Plant and accept the entrustment to manage its 7% equity in Tibet Building Materials Group.
Abides by the industrial policy of the Country and Autonomous Region, Tibet Building Materials Group shall engage in the manufacturing and sales of cement, cement products, aggregate, RMX; treatment and technical service for urban garbage and castoffs from industries and mining; cement waste heat power generation; as well as investment in cement and building materials industry.
